Terms of Service - KAMORA MEDIA

Effective for each user from the date of registration

1. Who we are and acceptance

These Terms of Service ("Terms") are an agreement between you and Dunaportal 2010 Ltd., a company registered under the laws of Hungary (company registration number 01-09-954963), with its registered seat at 1066 Budapest, Dessewffy utca 49., Hungary, which operates the Kamora Media brand ("Kamora", "we", "us"). They govern your use of kamoramedia.com, the client portal, your AI marketing agent, the free preview, and all videos and related services we provide (together, the "Services").

By creating an account, requesting a free preview, checking an acceptance box, or using the Services, you accept these Terms, our Privacy Policy and our Refund & Cancellation Policy, which form part of these Terms. These Terms take effect for you on the date you register an account, which is when you accept them online. You may register as an individual; if you do, you confirm that you use the Services only for your trade, business or profession, and you are personally bound by these Terms. If you accept on behalf of a company, you confirm you have authority to bind it, and "you" means that company.

2. Eligibility and business use only

The Services are offered only to businesses and individuals acting for business or professional purposes. You must be at least 18 years old and able to form a binding contract. The Services are not for personal, family or household use. By registering, you confirm you are not acting as a consumer, so rights that the law grants only to consumers do not apply. You may not use the Services if you are located in, or are a resident of, a country subject to US embargo, or are on a US, EU or UN sanctions or restricted-party list. The Services are not currently offered to businesses established in the European Union or European Economic Area.

3. What the Services do

  1. You provide information and materials about your business, such as your website or domain, logo, brand and communication guidelines, service area, offers, and photos.
  2. The AI marketing agent researches your business and publicly available information about your industry and market, plans topics, writes scripts, selects scenes, and produces short marketing videos using artificial intelligence.
  3. Videos may use AI-generated presenters, AI-generated scenes, AI voices, licensed stock elements, and (on eligible plans) your own approved photos.
  4. Plan features, video length, resolution and weekly video allowances are as described on our plans page at the time you subscribe.

The Services rely on automated systems and third-party AI models. We may change, improve or discontinue features. Features marked "Coming Soon" are not part of your subscription until we launch them. We do not post, schedule or promote videos on your social media accounts unless a written addendum says so.

4. Accounts

You must give accurate information and keep it current. You are responsible for all activity under your account and for keeping your login credentials secure. Tell us promptly at support@kamoramedia.com if you suspect unauthorized access.

5. Subscriptions, billing and automatic renewal

  1. Recurring billing. Paid plans are subscriptions that start on the date of your first payment (the "Billing Date") and renew automatically on the same day each month until you cancel. By subscribing, you authorize us and our payment processor, Stripe, to charge your payment method the plan price plus applicable taxes on each renewal.
  2. Annual plans. Annual plans cost 15% less (or as stated online from time to time) than the monthly price of the same plan, in exchange for a 12-month commitment billed in 12 monthly instalments. The commitment renews automatically for further 12-month terms unless you cancel. If you cancel before the 12 months end, the discount on instalments already billed is charged back, as set out in the Refund & Cancellation Policy.
  3. Pricing. Prices are in US dollars and exclude taxes unless stated. We may change prices by giving you at least 30 days' notice by email; the new price applies from your next renewal after the notice period. If you do not agree, you may cancel before it takes effect.
  4. Allowances. Weekly video allowances expire at the end of each month, do not roll over, and have no cash value.
  5. Failed payments. If a charge fails, we may retry it and suspend the Services until payment succeeds.
  6. Refunds. Refunds, cancellations and annual plan adjustments are governed by the Refund & Cancellation Policy. The 14-day refund applies only to your first payment, and only if no video has been generated.
  7. Free preview. The free preview requires no payment card and does not convert into a paid plan automatically.

6. Cancellation by you

You may cancel at any time from your account settings or by emailing support@kamoramedia.com. When you cancel, no further charges are made (other than any annual-plan discount adjustment) and video generation stops immediately, but you keep access to your account and portal, and can download your existing videos, until the end of the billing period you have already paid for. Download any videos you want to keep before that period ends. For 90 days after cancellation, you may request a copy of videos already delivered; after that they are permanently deleted.

7. Your materials and your rights

  1. Client Materials. "Client Materials" means everything you or anyone on your behalf provides to us: website content, domain, logos, trademarks, names, photos, videos, product images, images or recordings of people, voices, brand guidelines, text, offers, prices, reviews and testimonials, and any instructions.
  2. You keep ownership. You retain all rights you have in your Client Materials.
  3. Your promises about rights. You represent and warrant that, for all Client Materials and every instruction you give:
    • you own them or hold all licenses, permissions, consents and releases needed for us to use them as these Terms describe, including for commercial advertising;
    • you have the written consent of every identifiable person shown or heard in them (including employees and customers) to use their name, image, likeness and voice in advertising;
    • logos and trademarks you provide are yours or you are authorized to use them;
    • you are not providing materials copied from other businesses' websites, social accounts or ads, unlicensed stock images, celebrity images, or anyone else's copyrighted or trademarked material without permission;
    • business facts you provide (licenses, certifications, insurance, prices, offers, guarantees, years in business, customer numbers) are true and you can substantiate them; and
    • Our use of them as permitted here will not infringe or violate any intellectual property, privacy, publicity or other right, or any law.
  4. License to us. You grant Kamora a worldwide, non-exclusive, royalty-free license to host, store, copy, analyze, modify, adapt, combine with other content, create derivative works from, and transmit Client Materials, and to share them with our service providers, solely to provide, secure and improve the Services and as described in Sections 13 and 14. This license ends when Client Materials are deleted under our Privacy Policy, except for videos already delivered and backups kept for a limited period.
  5. Verification and removal. We may ask you to show proof of rights or consent at any time. We may refuse, remove or not use any Client Materials or Output that we reasonably believe infringes rights, breaks these Terms or creates legal risk, without liability.

8. Likeness and digital presenters

If a plan lets you create a digital presenter based on a real person's appearance or voice ("Digital Presenter"), these extra rules apply:

  1. You may create a Digital Presenter only of yourself, or of a person who has given separate, written, informed consent through our consent process.
  2. Creating a Digital Presenter may involve processing biometric identifiers (such as face geometry or voiceprints). We will collect them only after the person gives the separate Digital Presenter Consent in our app and will handle them as our Privacy Policy describes. We apply this consent standard in every jurisdiction, including the written-release requirement of the Illinois Biometric Information Privacy Act and the explicit-consent requirement of the GDPR.
  3. A Digital Presenter will be used only in videos for your business, never for another client, and never to state anything the person has not authorized through you.
  4. The person may withdraw consent at any time by writing to support@kamoramedia.com; we will stop creating new videos with that Digital Presenter and delete the related biometric data as stated in the Privacy Policy. Videos already published are your responsibility.

9. AI-generated output

  1. Ownership. "Output" means the videos, scripts and other content the Services create for you. As between you and Kamora, and once the relevant fees are paid, we assign to you our rights (if any) in Output created for your business, except Kamora Materials (Section 13), stock or third-party elements (which are licensed to you for use in that Output), and AI-generated presenters, voices and templates (which are licensed to you for use in that Output only).
  2. Free preview. Free preview videos are provided free of charge. You may use them for your own business marketing on the same basis as other Output, subject to these Terms, including Sections 7, 10 and 12.
  3. Nature of AI. Output is generated automatically and may contain errors, inaccuracies, odd visuals, or statements that are not true for your business. AI-generated presenters are synthetic and do not depict real people. Other clients may receive similar Output because AI systems produce similar results from similar inputs.
  4. No guarantee of protection. Copyright and other legal protection for AI-generated content is unsettled and may be limited or unavailable. We do not warrant that Output is protectable, unique, or free of third-party claims.
  5. Your review. You must review every Output before you use it. Using an Output means you have approved it.

10. You decide what you publish and advertise

  1. You are the advertiser. Kamora creates content. You alone decide whether, where, when and how any Output is published, posted, boosted, or used in paid advertising, and you do so at your own risk and responsibility.
  2. Your legal duties. You are responsible for ensuring your use of Output complies with all applicable laws and rules, including truth-in-advertising laws (including Section 5 of the FTC Act and state laws), the FTC's Endorsement Guides and Rule on the Use of Consumer Reviews and Testimonials, industry and licensing rules for your trade, privacy laws, AI-disclosure and labelling laws (including Article 50 of the EU AI Act where it applies), and the policies of each platform you use.
  3. No fake testimonials. You must not present an AI-generated presenter, voice or person as a real customer, employee, expert or reviewer, or use Output to create fake reviews or endorsements.
  4. Labelling. You must apply any AI-content labels required by law or by the platform you publish on, and must not remove watermarks, content credentials or metadata that identify content as AI-generated.
  5. No liability for promoted content. Kamora is not responsible for, and has no liability arising from, the publication or promotion of Output, including advertising claims, ad spend, ad performance, platform rejections, account restrictions or suspensions, regulatory action, or claims by your customers, competitors or anyone else.
  6. No guarantee of results. We do not promise any number of views, leads, customers, sales, or any return on investment.

11. Research of competitors and public information

The AI marketing agent may analyze publicly available information about your industry, market and competitors (for example, topics, formats and themes that perform well) to plan your content. We do not copy competitors' ads, footage, scripts, images, logos or trademarks into your Output. You must not ask us to imitate a specific competitor's ad or brand, use another business's trademarks, or make false or unsubstantiated comparisons with competitors.

12. Acceptable use

You must not use the Services, or allow Output to be used, to:

  • infringe or misappropriate any copyright, trademark, privacy, publicity, likeness, voice or other right;
  • depict a real person (including a public figure) without their consent, or create a deceptive deepfake;
  • create false, misleading or unsubstantiated advertising, including fake reviews, endorsements or before-and-after claims;
  • promote illegal products or services, or regulated products (such as firearms, drugs, cannabis, gambling, adult content, financial products, or medical treatments) without complying with applicable law and platform rules;
  • create hateful, harassing, violent, sexual, or discriminatory content, or political or election content;
  • target or create content about minors;
  • upload malware, scrape, reverse engineer, or interfere with the Services, or use them or Output to train or build a competing AI model or service; or
  • resell or share the Services without our written permission.

We may suspend or terminate accounts that break this Section.

13. Kamora's property and aggregated insights

Kamora and its licensors own the Services, platform, software, AI agents, prompts, workflows, templates, designs, models, and everything we create independently of your Client Materials ("Kamora Materials"). We may create and use aggregated and de-identified data and insights derived from use of the Services across clients (for example, which formats and topics perform well in a trade) to operate and improve the Services. Such data will not identify you or reveal your Client Materials to other clients. If you send us feedback, we may use it without obligation to you.

14. Showcasing your videos

We may display your business name, logo, and non-confidential Output as examples of our work on our website, social media, and sales materials. You may opt out at any time by emailing support@kamoramedia.com; we will stop new uses within a reasonable time.

15. Third-party services

The Services use third-party providers, including AI model providers, hosting, payment processing and email services. Your use of social media and advertising platforms is governed by their own terms. We are not responsible for third-party services or their availability.

16. Copyright complaints (DMCA)

If you believe content on the Services infringes your copyright, send a notice under 17 U.S.C. § 512 to our designated agent: Dunaportal 2010 Ltd., Attn: Copyright Agent, 1066 Budapest, Dessewffy utca 49., mezzanine, Hungary; support@kamoramedia.com. We will terminate repeat infringers in appropriate circumstances.

17. Confidentiality

We will treat non-public Client Materials as confidential and use them only to provide the Services, except as these Terms or our Privacy Policy allow or law requires.

18. Disclaimers

THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, KAMORA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. AI-GENERATED OUTPUT MAY BE INACCURATE AND IS NOT LEGAL, MARKETING-COMPLIANCE OR PROFESSIONAL ADVICE.

19. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) KAMORA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, DATA, OR ADVERTISING SPEND; AND (B) KAMORA'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE SUBSCRIPTION FEES YOU ACTUALLY PAID KAMORA IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; IF YOU HAVE PAID NOTHING (INCLUDING FOR THE FREE PREVIEW), KAMORA HAS NO LIABILITY TO YOU. THESE LIMITS APPLY TO ALL THEORIES OF LIABILITY. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DAMAGE CAUSED INTENTIONALLY OR BY GROSS NEGLIGENCE, FOR HARM TO LIFE, PHYSICAL INTEGRITY OR HEALTH, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

20. Indemnification

You will defend, indemnify and hold harmless Kamora and its officers, employees, contractors and providers from any claims, losses, damages, fines, and costs (including reasonable attorneys' fees) arising from: your Client Materials; your use, publication or promotion of Output; your advertising claims; your breach of these Terms or of law; or any claim that Client Materials or your use of Output infringes or violates another party's rights.

21. Governing law and disputes

  1. Informal first. Before starting proceedings, each party will try to resolve the dispute informally for 30 days after written notice (to us at support@kamoramedia.com).
  2. Governing law. These Terms and any dispute arising from them or the Services are governed by the laws of Hungary, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.
  3. Courts. The court of Budapest, Hungary having jurisdiction over Kamora's registered seat has exclusive jurisdiction. Kamora may also bring claims for unpaid fees, or to protect its intellectual property, in the courts where you are located.
  4. Individual claims. To the extent permitted by law, claims may be brought only individually, not as a plaintiff or member in any class, collective or representative proceeding.
  5. Language. These Terms are made in English, and the English version governs.

22. Suspension and termination by Kamora

We may suspend or terminate your access immediately if you breach these Terms, fail to pay, create legal risk for us or others, or if required by law or a provider. If we terminate for convenience without your breach, we will refund any prepaid fees for the unused period.

23. Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days' notice by email or in the portal. Continued use after the effective date means you accept the changes; if you do not agree, cancel before then.

24. International users

We operate from Hungary and the Services are designed primarily for the United States. If you use them from elsewhere, you are responsible for complying with local law. Nothing in these Terms limits rights that cannot be waived under the mandatory law of your country.

25. General

These Terms, with the Privacy Policy and Refund & Cancellation Policy, are the entire agreement on their subject. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. You agree to receive notices and communications electronically. No agency, partnership or employment relationship is created. Sections 7.3, 9, 10, 13 and 18–21 survive termination.
